MULTIPLE PROPOSALS INDUSTRONICS BERHAD (“ITRONIC” OR THE “COMPANY”) (I) PROPOSED ISSUANCE RCPS; AND (II) PROPOSED AMENDMENTS (COLLECTIVELY, THE “PROPOSALS”)

We refer to the announcements in relation to the Proposals dated 13 February 2020 (“Initial Announcement”), 13 March 2020 and 6 April 2020 (“Revision Announcement”) and 27 Appril 2020. The abbreviations used in this announcement are the same as those previously defined unless otherwise defined herein.

On behalf of the Board, M&A Securities wishes to announce that Bursa Securities has, vide its letter dated 20 July 2020, resolved to approve the listing of up to 266,625,000 new Itronic Shares to be issued pursuant to the conversion of the RCPS arising from the Proposed Issuance of RCPS.

The approval granted by Bursa Securities for the Proposal is subject to the following conditions:-

(i)         Itronic and M&A Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Issuance of RCPS;

(ii)        Itronic and M&A Securities to inform Bursa Securities upon the completion of the Proposals;

(iii)       Itronic to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed; and

(iv)        Itronic to furnish Bursa Securities on a quarterly basis a summary of the total number of Shares listed pursuant to the conversion of the RCPS at the end of each quarter together with a detailed computation of listing fees payable.
